Customer Subscription Agreement
Terms of Service, Billing, Cancellation & Refund Policy
Definitions
- “Service” means any software application made available by WizPro Software on a subscription basis, including but not limited to myHOAWiz, ShiftWiz, SkinArtWiz, RentalWiz, BakersWiz, IT-ServiceWiz, RooferWiz, and related platforms.
- “Subscription” means a recurring license to access and use the Service for the duration of the applicable billing period.
- “Billing Period” means the monthly or annual interval for which a Subscription fee is charged.
- “Tenant” means a Customer organization granted access to a dedicated instance of the Service.
- “Authorized Users” means the employees, contractors, or agents of the Tenant authorized to access the Service under the Subscription.
Subscription Services
WizPro Software grants Customer a non-exclusive, non-transferable license to access and use the Service during the active Subscription period, subject to the terms of this Agreement.
Access to the Service is provided on a software-as-a-service (SaaS) basis via a web browser and, where available, a native mobile application. No software is installed on Customer's hardware. WizPro Software reserves the right to update, modify, or enhance the Service at any time without prior notice, provided such changes do not materially degrade the core functionality available to the Customer.
Subscription plans may vary by application and may include feature tiers (e.g., Starter, Professional, Enterprise). The specific features included in each plan are described on the applicable product website at the time of purchase.
Billing & Payment Terms
3.1 Recurring Billing
Subscriptions are billed on a recurring basis — monthly or annually — beginning on the date of initial enrollment or, where a free trial is offered, upon the conclusion of the trial period. Charges are processed automatically at the start of each new Billing Period using the payment method on file.
3.2 Accepted Payment Methods
WizPro Software accepts the following payment methods for Subscription fees:
- Credit cards (Visa, Mastercard, American Express, Discover)
- Debit cards bearing a major card network logo
- ACH bank transfers (where enabled for the Customer's plan)
All payment processing is handled through WizPay, a proprietary payment platform operated by WizPro Software, which processes transactions through Payroc. Customer payment data is handled in accordance with PCI DSS standards and is never stored directly on WizPro's servers.
3.3 Auto-Renewal
All Subscriptions automatically renew at the end of each Billing Period unless cancelled by the Customer prior to the renewal date in accordance with Article 4. By subscribing, Customer authorizes WizPro Software to charge the payment method on file for each renewal period at the then-current Subscription rate.
3.4 Failed Payments
If a scheduled payment fails, WizPro Software will attempt to retry the charge up to three (3) times over a period of seven (7) days. If payment cannot be collected after all retry attempts, access to the Service may be suspended until the outstanding balance is resolved. Customer will be notified by email at each failed attempt.
3.5 Pricing Changes
WizPro Software reserves the right to change Subscription pricing at any time. Customers on an existing Subscription will receive no less than thirty (30) days' written notice by email before any price increase takes effect for their account. Continued use of the Service after the effective date of a price change constitutes acceptance of the new pricing.
3.6 Taxes
All Subscription fees are exclusive of applicable taxes. Customer is responsible for all sales, use, VAT, or other taxes imposed by applicable law on purchases made hereunder, excluding taxes based on WizPro Software's net income.
Cancellation Policy
4.1 Customer Right to Cancel
Customer may cancel their Subscription at any time through the account settings within the Service or by contacting support at support@wizprosoftware.com.
4.2 Access After Cancellation
4.3 No Early-Termination Fee
WizPro Software does not charge early-termination fees. Customers on monthly plans may cancel at any time with no penalty beyond the remainder of the current Billing Period. Customers on annual plans who cancel mid-year will retain access through the end of the annual period but will not receive a prorated refund for unused months, except as provided in Article 5.
4.4 Data Retention After Cancellation
Following the end of the Subscription period, Customer data is retained for thirty (30) days, during which the Customer may request an export of their data by contacting support@wizprosoftware.com. After thirty (30) days, data may be permanently deleted in accordance with WizPro Software's data retention policy.
4.5 Reactivation
If a Customer has a pending cancellation at period-end, they may undo the cancellation at any time before the period ends by reactivating their Subscription through their account settings. Upon the expiration and deactivation of a Subscription, reactivation may require re-enrollment and will be treated as a new Subscription.
Refund Policy
5.1 New Subscriber Guarantee
5.2 General No-Refund Policy
Except as provided in Section 5.1 and Section 5.3, all Subscription fees are non-refundable. WizPro Software does not issue prorated refunds for cancellations made during an active Billing Period, for unused features, or for periods of reduced usage.
5.3 Billing Errors
If Customer believes they have been charged in error — including duplicate charges, charges at the wrong rate, or charges after a confirmed cancellation — Customer must notify WizPro Software at support@wizprosoftware.com within sixty (60) days of the charge. WizPro Software will investigate and, if a billing error is confirmed, issue a full or partial refund as appropriate within seven (7) business days.
5.4 Service Outages
In the event of a verified outage or material degradation of the Service lasting more than twenty-four (24) consecutive hours within a single Billing Period, WizPro Software may, at its sole discretion, issue a prorated service credit for the affected period. Credits are applied to the Customer's next Billing Period and are not redeemable for cash.
5.5 Refund Method
Approved refunds are returned to the original payment method. Credit card refunds typically appear within 5–10 business days depending on the issuing bank. ACH refunds may take 3–5 additional business days.
5.6 Chargebacks
Before initiating a chargeback with their bank or card issuer, Customers are encouraged to contact WizPro Software directly at support@wizprosoftware.com. WizPro Software will work in good faith to resolve billing disputes promptly. Unresolved chargebacks may result in immediate suspension of the Customer's account pending resolution.
Free Trials
WizPro Software may offer free trial periods for certain plans. During a trial, the Customer has access to the Service at no charge for the duration of the trial period specified at enrollment. No payment is collected during the trial.
At the conclusion of the trial period, the Subscription will automatically convert to a paid plan and the payment method on file will be charged for the first Billing Period unless the Customer cancels before the trial ends. Customers will receive an email reminder no less than three (3) days before a trial converts to a paid Subscription.
The seven (7) day refund guarantee described in Section 5.1 applies to the first paid charge following a trial conversion.
Acceptable Use
Customer agrees to use the Service only for lawful business purposes and in compliance with all applicable federal, state, and local laws. Customer is responsible for maintaining the confidentiality of account credentials and for all activity that occurs under their account.
WizPro Software reserves the right to suspend or terminate any account that is found to be in violation of applicable law, engaged in fraudulent activity, or using the Service in a manner that threatens the integrity, security, or performance of the platform for other customers.
Limitation of Liability
To the fullest extent permitted by applicable law, WizPro Software's total liability to Customer for any claims arising under or related to this Agreement shall not exceed the total Subscription fees paid by Customer in the three (3) months preceding the event giving rise to the claim.
In no event shall WizPro Software be liable for any indirect, incidental, consequential, punitive, or special damages, including loss of data, loss of profits, or business interruption, even if advised of the possibility of such damages.
Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any dispute arising under this Agreement that cannot be resolved informally shall be submitted to binding arbitration in Charlotte County, Florida, under the rules of the American Arbitration Association.
Customer agrees to contact WizPro Software at support@wizprosoftware.com before initiating any formal dispute resolution proceeding, and the parties agree to make a good-faith effort to resolve disputes within thirty (30) days of written notice.
